The Constitution The Full Constitution of the PA 1. Title

The Association shall be known as Wycombe Royal Grammar School Parents’ Association.

2. Object

To advance the education of the pupils of the School by providing and assisting in the provision of facilities for the education at the School (not normally provided by the Local Education Authority) and as an ancillary thereto and in furtherance of this object the Association may:

  1. foster more extended relationships between the staff, parents and others associated with the School, and
  2. engage in activities which support the School and advance the education of the pupils attending it,
  3. promote as a corporate body the well-being of the School by all legitimate means,
  4. provide a channel of communication between School and parents.
3. Membership
  1. Ordinary membership shall be open to parents and guardians of present pupils of the Royal Grammar School.
  2. All members of staff and their husbands/wives shall be Honorary members unless entitled to Ordinary membership.
  3. The parents and guardians of former pupils of the School shall be entitled to Associate Membership on payment of an annual subscription to the Association. Such membership shall not carry voting rights or eligibility to serve on the Association Committee.
4. Subscription

Members shall subscribe an amount determined by the Committee and agreed at a General Meeting, one subscription covering both parents or guardians of any pupil(s).

5. Organisation
  1. The affairs of the Association shall be managed by a Committee composed of eighteen elected members, 3 drawn from each year group, as far as possible, Staff Representatives as provided under 5d, and Parent Governor Representatives as provided under 5h.
  2. Each Committee member shall be elected for a term of two years, elections being held at the Annual General Meeting, which should take place during the month of November.
  3. The Officers of the Association comprising Chairman, Vice Chairman, Treasurer and Secretary, shall be elected by the Committee from the 18 elected parents as provided under a). They shall hold office for one year or until their successors are appointed, and shall be eligible for re-election.
  4. The Headmaster shall be ex-officio President of the Association and with two other members of staff shall have a seat on the Committee.
  5. The Committee shall have power to appoint any Sub-Committee to carry on the work of the Association. The Honorary Secretary shall give to each member of the Committee notice of a meeting.
  6. Seven members of the Committee shall form a quorum.
  7. Decisions shall be taken by a simple majority, the Chairman voting as a Committee member but having a casting vote.
  8. Two elected Parent Governors may be co-opted on to the Committee with full voting rights.
6. Meetings
  1. Apart from the Annual General Meeting, when the Annual Report and Statement of Accounts shall be received Special General Meetings may be called at the discretion of the Committee or at the written request of not less than forty members of the Association. Two weeks’ notice shall be given of all General Meetings. A quorum shall be not less than fifteen members.
  2. Nominations for the Committee must be made in writing to the Secretary at least two days before the Annual General Meeting and the previous consent of the person nominated must be obtained.
  3. The President, or in his absence the Chairman of the Association, shall preside at General Meetings of the Association.
7. Finance

The Honorary Treasurer shall receive and pay all monies due to and from the Association and shall for that purpose keep an account at Barclays Bank, High Wycombe in the name of the Association. The Treasurer shall make up the accounts to 31st July, in each year, and submit them to the Honorary Auditors within one month of that date. In addition to the Treasurer for the time being, all cheques, drafts, bills and promissory notes shall be signed by either the Chairman or the Vice-Chairman.

8. Terms of Reference

The Association recognises that the internal organisation, management and discipline of the School are the responsibility of the Headmaster.

9. Alterations

Any alteration to this Constitution must be approved by at least two thirds of the members present at any Annual General Meeting or Special General Meeting called for the purpose. No amendment shall be made to the Objects (Clause 2), this clause or the Dissolution provisions (Clause 10) and no amendment shall be made to the remaining clauses which would cause the Association to cease to be a charity in law.

10.Assets on Dissolution

Any assets remaining on Dissolution of the Association after satisfying any outstanding debts and liabilities shall not be distributed amongst members of the Association but shall be given to the School for the benefit of the pupils of the School in any way which is exclusively charitable at law.
